Terms of Service

1. Who we are

Mellendith Shift ("Mellendith Shift," "we," "us," or "our") is a software platform that helps healthcare facilities manage their own per-diem and PRN clinician staffing pools, with an option to post unfilled shifts to a broader open board of clinicians. These Terms of Service ("Terms") govern your access to and use of the Mellendith Shift website, applications, and related services (collectively, the "Service").

By creating an account, subscribing to the Service, or otherwise using it, you agree to these Terms. If you are using the Service on behalf of a healthcare facility or other organization, you represent that you have authority to bind that organization to these Terms.

2. Who can use the Service

  • Facilities use the Service to post shifts, manage an internal pool of clinicians, review applicants, and (if they choose) post unfilled shifts to an open board.
  • Clinicians use the Service to view and apply to shifts, manage connections with facilities, and communicate about shifts they have applied to or been offered.

The Service never contacts a clinician about a specific shift unless that clinician has applied to it, is already connected to the posting facility, or has explicitly opted in to notifications for matching shifts.

3. Accounts

You must provide accurate information when creating an account and keep it up to date. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use.

4. Facility subscriptions and billing

  • Facility access to the Service is billed as a flat monthly subscription, currently $399/month, unless otherwise stated at signup.
  • New facility subscriptions include a free trial period (currently 7 days). Unless you cancel before the trial ends, your payment method will be charged automatically at the end of the trial and on each subsequent billing cycle.
  • Subscriptions are billed and processed through Stripe, our third-party payment processor. We do not store your full payment card details ourselves.
  • You may cancel your subscription at any time through the billing settings in your account. Cancellation takes effect at the end of the current billing period; we do not provide partial-period refunds except where required by law.
  • We may change subscription pricing with advance notice. Continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.

5. Clinician use of the Service

The Service is free for clinicians to use. Clinicians are independent users of the Service; nothing in these Terms creates an employment relationship between Mellendith Shift and any clinician, or between any facility and any clinician, solely by virtue of using the Service. The employment or engagement relationship (if any) exists directly between the facility and the clinician.

6. Credentials and license information

Clinicians are solely responsible for the accuracy of the license, credential, and identity information they provide. The Service may block certain actions (such as confirming a shift) if a clinician's stated license has expired or is missing required information, as a safety and compliance measure. This automated check does not constitute, and should not be relied upon as, comprehensive verification of a clinician's credentials, standing, or fitness to practice. Facilities remain responsible for their own compliance obligations, including verifying clinician credentials to the extent required by applicable law or their own policies.

7. Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable healthcare, labor, or employment law;
  • Misrepresent your identity, credentials, or affiliation with a facility;
  • Attempt to circumvent the Service's matching, messaging, or notification restrictions (for example, contacting a clinician who has not applied to a shift, outside the Service);
  • Interfere with or disrupt the Service, attempt to access it through unauthorized means, or reverse-engineer any part of it;
  • Use the Service to transmit harassing, abusive, or unlawful communications.

8. Location and device data

The Service may request access to your device's location — for example, to show clinicians nearby shifts, to calculate travel time, or to record a location-stamped clock-in/clock-out for a shift as an informational record. You can decline location access, though some features may not work as intended without it. Location-based clock-in/out records are informational and are not used to automatically block or approve a shift outcome; discrepancies are flagged for the facility's review, not enforced automatically.

9. Messaging

Messaging between facilities and clinicians through the Service is intended for shift-related communication. We may retain records of when a message thread is accessed for security, compliance, and audit purposes.

10. Intellectual property

The Service, including its software, design, and content (excluding data you submit), is owned by Mellendith Shift or its licensors. We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms. You retain ownership of the data you submit to the Service (such as shift postings, profile information, and messages), and grant us a license to use it as needed to operate and improve the Service.

11. Disclaimers

The Service is provided "as is" and "as available." We do not guarantee that the Service will be uninterrupted, error-free, or that any particular shift will be filled, or that any particular clinician will be available, reliable, or suitable for a given facility's needs. Facilities are responsible for their own staffing decisions and compliance with applicable healthcare staffing regulations.

12. Limitation of liability

To the maximum extent permitted by law, Mellendith Shift and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the twelve months preceding the claim.

13. Termination

We may suspend or terminate your access to the Service if you violate these Terms, engage in fraudulent or unlawful conduct, or if your facility subscription lapses. You may stop using the Service and cancel your subscription at any time.

14. Changes to these Terms

We may update these Terms from time to time. We will provide notice of material changes (for example, by posting an update on this page or notifying you in-app or by email). Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

15. Governing law

These Terms are governed by the laws of the state in which Mellendith Shift is organized, without regard to conflict-of-law principles, unless otherwise required by applicable law.
